1. Terms

By accessing this web site and using Voice Activity Ltd products, software, services (referred to collectively as the "Services" in this document), you are agreeing to be bound by these Terms and Conditions of Use, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this web site are protected by applicable copyright and trade mark law.

2. Eligibility

You must be at least 16 years old to use the Services. We do not knowingly collect personal information from children under 16. If you become aware that your child has provided us with personal information without your consent, please immediately contact us at abuse@voiceactivity.com and we will take steps to remove such information and terminate the child's account.

3. Use of the Services by you

• In order to access certain Services, you may be required to provide information about yourself (such as identification or email address) as part of the registration process for the Service, or as part of your continued use of the Services. You agree that any registration information you give to Voice Activity Ltd will always be accurate, correct and up to date.
• You agree to use the Services only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data or software to and from the New Zealand or other relevant countries).
• You agree not to access (or attempt to access) any of the Services by any means other than through the interface that is provided by Voice Activity Ltd, unless you have been specifically allowed to do so in a separate agreement with Voice Activity Ltd.
• You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).
• Unless you have been specifically permitted to do so in a separate agreement with Voice Activity Ltd, you agree that you will not reproduce, duplicate, copy, sell, trade or resell the Services for any purpose.
• You agree that you are solely responsible for (and that Voice Activity Ltd has no responsibility to you or to any third party for) any breach of your obligations under the Terms and for the consequences (including any loss or damage which Voice Activity Ltd may suffer) of any such breach.
• You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Services.
• Accordingly, you agree that you will be solely responsible to Voice Activity Ltd for all activities that occur under your account.
• If you become aware of any unauthorized use of your password or of your account, you agree to notify Voice Activity Ltd immediately at abuse@voiceactivity.com.

4. Content in the Services

• You understand that all information such as written text (including user nick name), links to shared files or other resources which you may have access to as part of, or through your use of the Services are the sole responsibility of the person from which such content originated. All such information is referred to below as the "Content".
• Voice Activity Ltd reserves the right to terminate an account, refuse or remove any or all Content from any Service in case of infringing the intellectual property rights, privacy rights, publicity rights, or other legal rights of Voice Activity Ltd or any third party. Prohibited Content also includes: abusive threatening, defamatory, excessive profanity, racist, terrorism, spam, pyramid schemes, promoting tobacco, gambling or Illicit drugs, sexual materials of any kind.
• To report a violation of the Terms of Service or abusive Content please use abuse@voiceactivity.com.
• You agree that you are solely responsible for and that Voice Activity Ltd has no responsibility to you or to any third party for any Content that you create, transmit or display while using the Services and for the consequences of your actions (including any loss or damage which Voice Activity Ltd may suffer) by doing so.
• Voice Activity Ltd reserves the right to modify, change, or discontinue any aspect of this Site or the Services found at this Site, including without limitation prices and fees for the same, at any time.

5. Suspension and Termination of your Account

• You can terminate your account for any reason at any time. Check our Privacy Policy to see what happens when you terminate your account.
• You can cancel your subscription for any reason at any time. Your account will be switched to the "free" plan. The change will occur immediately. You shall be entitled to no compensation or other payment, remedy, recourse or refund.
• Voice Activity Ltd may suspend or terminate your Account if you violate this Agreement, along with any or all other Accounts held by you or otherwise related to you as determined by Voice Activity, and your violation of this Agreement shall be deemed to apply to all such Accounts.
• We may suspend or terminate your Account if we determine in our discretion that such action is necessary or advisable to comply with legal requirements or protect the rights or interests of Voice Activity Ltd or any third party.
• We may suspend or terminate your Accounts upon a general suspension or discontinuation of the Service.

6. Disclaimer

The materials on Voice Activity Ltd web site are provided "as is". Voice Activity Ltd makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

7. Limitations

In no event shall Voice Activity Ltd or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on Voice Activity Ltd Services, even if Voice Activity Ltd or a Voice Activity Ltd authorized representative has been notified orally or in writing of the possibility of such damage.

8. Site Terms of Use Modifications

Voice Activity Ltd may revise these terms of use for its services and web site at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise. By using our services and this web site you are agreeing to be bound by the current version of these Terms and Conditions of Use.

9. Governing Law

Any claim relating to Voice Activity Ltd services and a web site shall be governed by the laws of the State of Auckland, New Zealand without regard to its conflict of law provisions.
